These Terms of Service (“Terms”) govern your access to and use of SimpleGPT, a Google Sheets add-on (“Service”) provided by Creative Dynamic (“we”, “us”, “our”). By using the Service, you agree to these Terms, our Privacy Policy, and Data Usage Disclosure. If you disagree, do not use the Service.
1. Interpretation and Definitions
– Account: Your unique access to the Service via Google OAuth.
– Content: Data you input (e.g., prompts, cell values, formulas like =SimpleGPT).
– Service: The SimpleGPT add-on, including AI integrations (via OpenRouter), caching (script/hidden sheet), usage tracking (tokens/words with 4x upcharge), Stripe subscriptions, and sidebar UI.
– You: The user or entity.
2. Acknowledgment
You must be over 18. Your use is conditioned on acceptance of these Terms and our Privacy Policy. Service for lawful, non-high-risk purposes (e.g., no medical/legal advice via AI).
3. User Accounts and Subscriptions
To use premium features (e.g., unlimited calls, premium prompts like $EbayPriceLookup), create an account via Google OAuth. Subscriptions: Starter ($4.95/mo for $10 credit), Power ($14.95/mo for $35 credit), Max ($49.95/mo for $85 credit); overages at discounted rates (e.g., 20% off). Billed via Stripe; auto-renew. Cancel anytime via sidebar; no refunds for partial periods. Free tier: 20 calls/day at $0 balance.
4. Acceptable Use
Use the Service for AI-driven Sheets processing (e.g., “Run Once” for batch execution, chaining formulas with dependency order). Provide accurate Content; review AI outputs. Prohibited: Misusing caching/DB, exceeding limits without payment, illegal activities, or sending PII without consent.
5. Intellectual Property
We own all rights to the Service, including Apps Script code, Cloud SQL setup, and integrations. You retain rights to your Content but grant us a limited license to process/store it (e.g., send to OpenRouter, cache in hidden sheet). AI outputs are yours but generated “as is” by third-party providers.
6. User Content and AI Outputs
You are responsible for Content (e.g., prompts may contain PII). AI outputs via OpenRouter (routing to models like ChatGPT); we disclaim accuracy, completeness, or liability. Do not rely for critical decisions.
7. Prohibited Activities
No spam, hacking, sharing accounts, reverse-engineering (e.g., API keys), or violating third-party terms (e.g., OpenRouter). We may suspend for violations.
8. Termination
We may terminate for breach (e.g., non-payment). You may cancel via sidebar; data deletable on request.
9. Limitation of Liability
Service provided “as is.” We are not liable for indirect damages, data loss, AI errors, or third-party issues (e.g., OpenRouter downtime). Liability capped at fees paid in last 12 months.
10. Governing Law
Governed by laws of the State of Washington, USA.
11. Changes to Terms
We may update; continued use implies acceptance. Notified via email/sidebar.
